According to British media, Frasers Group is exploring ways to install its Chief Executive Michael Murray as CEO of HUGO BOSS.
Frasers currently owns 30.28% of the company, but this does not give it direct control over management appointments, which remain the responsibility of HUGO BOSS’ 12 member Supervisory Board. Murray is the only clearly Frasers aligned representative on the Board and would likely be excluded from any vote concerning his own appointment due to conflicts of interest.
The current governance balance also appears unfavorable to such a move. Chairman Stephan Sturm has publicly supported the existing strategy and management team, while independent shareholder representatives Iris Epple Righi, Andreas Kurali and Christina Rosenberg have no disclosed relationship with Frasers. They also participated in the unanimous recommendation to reject Frasers’ €38 offer, with Murray excluded from the process because of his conflict.
The Marzotto family, which holds 14.15% of HUGO BOSS, also appears aligned with incumbent CEO Daniel Grieder. Overall, Frasers would need to secure significantly broader support across both the Supervisory Board and the shareholder base. Based on the current governance structure, Murray’s appointment as CEO therefore appears difficult.
